Submitting an enquiry, booking a call or completing a form does not create a client relationship, service agreement or obligation for Bid.Shape.Shake. to provide services.

Bid.Shape.Shake. may decline enquiries, bookings, projects, service requests or prospective clients at its discretion.

Any paid services will be governed by a separate proposal, quote, estimate, scope of work, service agreement, invoice terms or client terms, unless expressly stated otherwise.

6. Paid services

Any paid services provided by Bid.Shape.Shake. are subject to the specific proposal, quote, estimate, scope of work, service agreement, invoice terms or client terms issued for that service.

To the extent there is inconsistency between these Website Terms and Conditions and a signed or accepted proposal, quote, estimate, scope of work, service agreement or client terms, the signed or accepted service documentation will apply to the extent of the inconsistency.

Unless otherwise stated in writing:

(a) prices are exclusive of GST;

(b) quotes and estimates are based on information available at the time they are prepared;

(c) work will not commence until the required written acceptance and deposit have been received;

(d) invoices must be paid by the due date stated on the invoice;

(e) out of pocket costs, third party costs, specialist supplier costs, printing, courier, photography, illustration, artwork, advertising, software or other external costs may be charged in addition to professional fees; and

(f) Bid.Shape.Shake. may pause, suspend or discontinue services if invoices are overdue or required client information is not provided.

7. Quotes, estimates and validity

Quotes and estimates issued by Bid.Shape.Shake. are based on the information provided by the client, supplier information available at the time, assumed project conditions, expected client responsiveness and the stated scope of work.

Unless otherwise stated, quotes are valid for 30 days from the date of issue.

For tender, proposal or deadline-driven work, quotes may also be subject to there being enough time available to complete the work before the relevant submission, lodgement or delivery date.

Bid.Shape.Shake. may revise a quote, estimate, timeline or scope where:

(a) the client provides incomplete, inaccurate, late or changed information;

(b) the scope changes;

(c) additional deliverables, meetings, review rounds or services are required;

(d) third party costs change;

(e) the project becomes more complex than reasonably anticipated;

(f) the client delays content, feedback, approvals or access;

(g) rush work or out of hours work is required; or

(h) circumstances arise that materially affect the time, cost or delivery of the work.

8. Payment terms

Unless otherwise stated in a proposal, quote, estimate, invoice or service agreement:

(a) prices do not include GST;

(b) a deposit may be required before work commences;

(c) the balance must be paid before final handover of deliverables;

(d) invoices are payable within 7 days of issue;

(e) work may be paused, withheld or discontinued where payment is overdue;

(f) final files, editable files, source files, templates or completed deliverables may be withheld until all outstanding invoices have been paid; and

(g) any costs incurred in recovering overdue amounts, including legal fees, debt collection fees or agency fees, may be recoverable from the client to the extent permitted by law.

Where a client disputes an invoice, the client must notify Bid.Shape.Shake. promptly after receiving the invoice and provide clear reasons for the dispute.

Any undisputed portion of the invoice remains payable by the due date.

Interest may be charged on overdue amounts more than 30 days after the invoice date at a rate of 12% per annum, calculated daily, to the extent permitted by law.

9. Client responsibilities

Where you engage Bid.Shape.Shake. for services, you are responsible for:

(a) providing accurate, complete and timely information;

(b) ensuring you have the right to provide any documents, images, project information, confidential information, CVs, tender documents, proposal documents, business information, brand assets or third party materials supplied to us;

(c) reviewing all drafts, content, designs, documents, submissions and deliverables carefully;

(d) checking factual accuracy, compliance requirements, tender requirements, technical details, dates, names, project information, pricing, qualifications, certifications and claims;

(e) providing feedback, approvals and decisions within the required timeframe;

(f) ensuring final approval is given by an authorised person;

(g) obtaining legal, financial, technical, insurance, procurement or other professional advice where required;

(h) lodging, submitting or uploading final materials unless Bid.Shape.Shake. has expressly agreed in writing to do so; and

(i) ensuring your use of final deliverables complies with any applicable laws, tender requirements, procurement rules, platform requirements and third party rights.

10. Review, approval and errors

Bid.Shape.Shake. uses reasonable care and skill in preparing work. However, all content, documents, submissions, designs and deliverables must be reviewed and approved by the client before use, publication, submission or lodgement.

Final approval is the client’s responsibility.

The Bid Coordinator Pty Ltd trading as Bid.Shape.Shake. is not responsible for errors, omissions, inaccuracies, non-compliance, missed requirements, incorrect information, outdated information, formatting issues, upload issues, technical issues, submission errors or consequences arising from material that the client has reviewed, approved, supplied, failed to review, or failed to correct.

For tender and proposal work, the client remains responsible for confirming that the final submission meets all tender requirements, returnable schedules, lodgement instructions, addenda, page limits, formatting requirements, compliance conditions and submission deadlines.

11. Client delays and rush work

Bid.Shape.Shake. relies on clients providing information, content, access, feedback and approvals within the timeframes required for the project.

Where client delays affect the project timeline, Bid.Shape.Shake. may:

(a) revise the delivery timeframe;

(b) reduce the scope that can reasonably be completed;

(c) proceed based on available information;

(d) treat delayed feedback as approval where this has been clearly communicated;

(e) charge additional fees for extra work, rework, waiting time, rescheduling, project management or rush delivery;

(f) charge out of hours or urgent work rates where work must be completed outside standard working hours due to client delay; or

(g) pause, reschedule or decline to continue the project where the delay creates unreasonable risk.

For tender, proposal or urgent deadline-driven work, additional charges may apply where client delays require work outside standard business hours.

Bid.Shape.Shake. is not responsible for reduced quality, missed opportunities, submission risks, additional costs or delivery impacts caused by late client information, late feedback, late approvals or changes to scope.

12. Cancellations, pauses and rescheduling

If a client cancels, pauses, postpones or materially delays a project, Bid.Shape.Shake. may invoice for all work completed, time incurred, costs committed, expenses incurred and any non-refundable supplier or third party costs up to the date of cancellation, pause or delay.

Deposits, booking fees or upfront payments may be non-refundable where work has commenced, time has been reserved, suppliers have been booked, or Bid.Shape.Shake. has declined other work to accommodate the project.

Any restart of a paused project may be subject to availability, revised pricing, revised timing and a revised scope of work.

13. Confidentiality

Bid.Shape.Shake. will take reasonable steps to protect confidential information provided by clients.

Confidential information may include tender documents, proposal documents, pricing, project information, staff CVs, business strategies, commercial information, client records, supplier information and other non-public business information.

Bid.Shape.Shake. may disclose confidential information to employees, contractors, consultants, professional advisers, software providers, suppliers or subcontractors where reasonably necessary to deliver services, operate the business, obtain advice, manage systems or comply with legal obligations.

The client is responsible for identifying any information that is particularly sensitive, restricted, subject to confidentiality obligations, subject to tender conditions, or not authorised for disclosure to third parties.

14. Portfolio use and case studies

Unless you request otherwise in writing, Bid.Shape.Shake. may refer to your business name, project type, industry, general service category or completed work for the purpose of describing our experience, services, portfolio, case studies, credentials, marketing or business development.

Bid.Shape.Shake. will not knowingly publish commercially sensitive information, confidential tender information, private pricing information or confidential client material without permission.

Where a project is commercially sensitive, confidential, unsuccessful, under embargo, subject to tender restrictions, or not suitable for portfolio use, you must notify Bid.Shape.Shake. in writing.

15. Design files, templates and working files

Unless otherwise agreed in writing, the client receives the final approved deliverables specified in the relevant scope of work.

Working files, editable files, source files, templates, drafts, internal notes, research files, strategy documents, InDesign files, design systems, unused concepts, rejected concepts, internal frameworks and production files remain the property of The Bid Coordinator Pty Ltd trading as Bid.Shape.Shake.

Editable files, source files or templates may be provided at an additional cost and only after all outstanding invoices have been paid.

Bid.Shape.Shake. retains ownership of its pre-existing intellectual property, know-how, methodologies, frameworks, systems, templates, processes, tools, structures, writing approaches, design approaches and business materials.

16. AI, software and third party tools

Bid.Shape.Shake. may use software, cloud platforms, project management tools, analytics tools, writing tools, design tools, AI-assisted tools, automation tools and other third party platforms as part of its business operations and service delivery.

Where AI-assisted tools or software are used, Bid.Shape.Shake. will use reasonable professional judgment and review processes. However, the client remains responsible for reviewing and approving final deliverables before use.

Bid.Shape.Shake. is not responsible for outages, errors, service interruptions, data handling practices, platform changes, account issues or other failures caused by third party software, systems or providers outside our reasonable control.

17. No guarantee of outcomes

Bid.Shape.Shake. may assist with tender strategy, proposal writing, brand positioning, capability statements, website content, design, training, consulting and related services.

However, Bid.Shape.Shake. does not guarantee that you will win a tender, secure a project, be shortlisted, increase revenue, improve rankings, obtain approvals, receive enquiries, convert leads, achieve specific commercial results, or obtain any particular outcome from using our website, resources or services.

Results depend on many factors outside our control, including pricing, compliance, technical capability, competition, market conditions, client decisions, procurement rules, evaluator preferences, business performance, timing and the quality of information supplied by the client.

18. Australian Consumer Law

Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

Where permitted by law, Bid.Shape.Shake.’s liability for breach of any applicable consumer guarantee is limited to one or more of the following:

(a) supplying the services again; or

(b) paying the cost of having the services supplied again.

19. Limitation of liability

To the maximum extent permitted by law, The Bid Coordinator Pty Ltd trading as Bid.Shape.Shake. is not liable for any indirect, incidental, special, consequential or economic loss, loss of profit, loss of revenue, loss of opportunity, loss of contract, loss of goodwill, loss of data, business interruption, reputational damage or tender outcome arising from your use of this website, reliance on website content, use of free resources, or engagement of our services.

To the maximum extent permitted by law, The Bid Coordinator Pty Ltd trading as Bid.Shape.Shake.’s total aggregate liability arising out of or in connection with any paid services is limited to the amount paid by the client to Bid.Shape.Shake. for the relevant service giving rise to the claim.

This limitation does not apply to liability that cannot be excluded or limited by law.

20. Indemnity

You agree to indemnify The Bid Coordinator Pty Ltd trading as Bid.Shape.Shake. against loss, damage, cost, liability or expense arising from:

(a) your breach of these Terms and Conditions;

(b) your misuse of the website or website content;

(c) information, documents, materials, instructions or approvals you provide;

(d) your infringement of any third party rights;

(e) your unlawful conduct;
